These Terms govern the use of the website and services provided by RIVACTA (operated by BCROSSB Inc., the "Company"). By using the services, the user is deemed to have agreed to these Terms.

Article 1 (Purpose and Scope)

These Terms set out the rights, obligations, and responsibilities between the Company and users regarding the use of the Company's website and related services (the "Services").

Article 2 (Definitions)

"Services" means the website operated by the Company, the Fit Call, the Market Diagnostic, the Managed Engagement, and related materials.

Article 3 (Conditions of Use)

Users shall use the Services in compliance with applicable laws and these Terms, and shall provide truthful information when inquiring or applying.

Article 4 (Accuracy and Limits of Information)

Information on the website is general guidance and does not guarantee any specific outcome. The Company makes no express or implied warranty as to the completeness, accuracy, or fitness for a particular purpose of the information.

Article 5 (Scope of the Fit Call)

The Fit Call is an initial consultation to confirm fit and does not include the provision of specific advice, execution, or deliverables.

Article 6 (Paid Services and Separate Agreement)

Paid services such as the Market Diagnostic and Managed Engagement are governed by a written agreement executed separately from these Terms. Where these Terms conflict with such a written agreement, the written agreement prevails.

Article 7 (Prohibited Acts)

Users shall not engage in violations of law, requests for false or exaggerated expression, requests to evade ad review, requests to manipulate reviews, infringement of others' rights, interference with the Services, or any act related to anti-social forces.

Article 8 (Intellectual Property)

All intellectual property rights in the website's content, design, trademarks, and logos belong to the Company or the rightful holders. Unauthorized reproduction or use is prohibited.

Article 9 (Disclaimer)

The Company is not liable for damages arising from causes not attributable to it, including force majeure, changes in third-party platform policies, and errors or omissions in user-provided information. The Company does not guarantee revenue, bookings, patients, contracts, or ROAS.

Article 10 (Changes and Suspension of Services)

The Company may change or suspend all or part of the Services after prior notice, or without notice in urgent cases.

Article 11 (Limitation of Liability)

To the extent permitted by law, the Company's liability is limited to the amount actually paid by the user to the Company in direct connection with the relevant matter, and the Company is not liable for indirect, incidental, special, or consequential damages.

Article 12 (Governing Law)

These Terms are governed by and construed in accordance with the laws of Japan.

Article 13 (Jurisdiction)

Any dispute relating to these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance.

Article 14 (Changes to the Terms)

The Company may amend these Terms as necessary. Amended Terms take effect upon posting on the website.
